Creating Effective Corporate Governance

Narva & Company recommends its clients establish a truly supervisory governance process, where either a board of directors or council of advisors meets regularly and exercises genuine oversight of management of all business operations.  Our advisors offer practical guidance and education for clients with a well established board of directors, which can be increasingly professionalized with additional expertise or refreshed with independent candidates, and for client enterprises ready to establish effective governance through a first council of advisors.

Our advisory services include guidance in the following areas:

Effective board leadership and meeting protocols
Understanding director roles and responsibilities
Appropriate board compensation
Creating or enhancing board committee structures
Preparing the next generation of family directors through board committee membership
Implementing a board evaluation process
Providing board level oversight of financial controls and financial management through an interim audit committee function
Establishing a board succession plan
Recommendations for continuing director education

Board Search Practice

Our comprehensive approach to conducting searches for independent directors or advisors is designed to focus on the unique culture of each enterprise. We recruit only individuals who meet the highest levels of integrity, accountability, candor, loyalty, mature confidence, and informed business judgment, who also possess a respectful appreciation for the unique dynamics of family enterprises—through a carefully designed, collaborative process.

Searches to fill vacancies on existing boards:

Unlike almost all other advisors to family firms, we go beyond advising on governance issues to conduct board searches through a formal, multiphase search process.  We have completed searches successfully for more than 150 corporate directors and council of advisors members. We draw potential candidates from our proprietary database of experienced advisors and directors who are also well versed in the dynamics of family companies.

Searches to create a Council of Advisors:

We design and recruit a council of advisors for companies seeking effective outside perspective in a governance forum, which is significantly different from a board of directors in composition and fiduciary responsibility.
